1. Agreement to Terms

By accessing or using any services provided by Gaia Media (Gaia Digital LLC) ("Company," "we," "us," or "our"), including our website at gaiamedia.co, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all clients, leads, contacts, and visitors who interact with Gaia Media through any channel, including our website, email, phone, SMS, or automated systems powered by GoHighLevel. You must be 18 years of age or older to use this SMS service.


2. Description of Services

Gaia Media is an AI-powered digital marketing agency specializing in lead generation and automated appointment booking for home service contractors and local businesses. Our services include Meta advertising campaign management, CRM setup and automation via GoHighLevel, AI-driven appointment booking systems, and ongoing performance reporting and client support. We help businesses attract qualified leads, convert them into booked appointments, and streamline their client communication workflows.


3. User Responsibilities

By engaging with our services, you agree to:

Provide accurate, complete, and current information about your business and goals

Cooperate with onboarding processes and respond to communications in a timely manner

Grant necessary access to ad accounts, business pages, and relevant platforms as required to deliver services

Comply with all applicable laws and platform policies, including Meta's Advertising Standards

Not misrepresent your business, services, or target audience to us or to prospective customers generated through our campaigns

You are responsible for ensuring the information you provide to Gaia Media is lawful, accurate, and does not infringe on the rights of any third party.


4. Acceptable Use

You agree not to use our services or communications channels to:

Engage in fraudulent, deceptive, or misleading activity

Violate any applicable local, state, federal, or international law or regulation

Transmit spam, unsolicited messages, or harmful content

Infringe on the intellectual property rights of others

Interfere with or disrupt our systems, platforms, or third-party services we rely upon

Gaia Media reserves the right to suspend or terminate services to any client found to be in violation of this section.


5. Payments & Billing

Clients are billed on a recurring monthly retainer basis as outlined in their individual service agreement. Payment terms, amounts, and billing cycles are specified in the signed client contract. By engaging our services, you authorize Gaia Media to charge the payment method on file according to the agreed billing schedule.

All fees are non-refundable unless otherwise stated in your service agreement. If a payment fails or is disputed without valid cause, Gaia Media reserves the right to pause or terminate active campaigns until the balance is resolved.


6. Intellectual Property

All content, materials, creative assets, campaign strategies, templates, and systems developed by Gaia Media in connection with your account remain the intellectual property of Gaia Media unless explicitly transferred in writing. Clients retain ownership of their own business data, ad accounts, and any assets they independently created prior to engaging our services.

You grant Gaia Media a limited, non-exclusive license to use your business name, logo, and relevant materials solely for the purpose of delivering contracted services.


7. SMS Messaging Terms

Gaia Media uses GoHighLevel to manage SMS communications with clients, leads, and contacts who have opted in to receive messages from us.

Program Description: When you opt in to receive SMS messages from Gaia Media, you may receive appointment reminders, account alerts, onboarding updates, service updates, and customer support responses related to your engagement with our services.

Opt-Out Instructions: You can cancel the SMS service at any time. Just text STOP to +1 914-298-4907. After you send the SMS message STOP to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

Carrier Disclaimer: Carriers are not liable for delayed or undelivered messages.

Message & Data Rates: Message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

Message Frequency: You will receive messages on an appointment-based and transactional basis, meaning messages are triggered by actions such as form submissions, scheduled appointments, or account activity — not sent on a fixed daily or weekly schedule.

8. Communications via GoHighLevel

Gaia Media uses GoHighLevel as its CRM and communications platform. By engaging with our services and providing your contact information, you acknowledge that we may contact you via email, phone call, voicemail, and/or SMS through this system. All SMS communications are sent only to individuals who have provided express consent. Consent is never a condition of purchase.


9. Disclaimers

Gaia Media provides digital marketing and lead generation services on a best-efforts basis. While we offer a performance guarantee of a minimum number of booked appointments per month as outlined in individual client agreements, we do not guarantee specific revenue outcomes, close rates, or business growth results. Marketing performance is influenced by factors outside our control, including market conditions, ad platform algorithms, and client responsiveness.

Our services are provided "as is" without warranties of any kind, express or implied, beyond those explicitly stated in your signed service agreement.


10. Limitation of Liability

To the fullest extent permitted by law, Gaia Media (Gaia Digital LLC), its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to lost revenue, lost leads, or business interruption.

Our total liability to any client for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by that client in the three months preceding the claim.


11. Indemnification

You agree to indemnify, defend, and hold harmless Gaia Media (Gaia Digital LLC) and its team members from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or your violation of any applicable law or third-party right.


12. Termination

Either party may terminate the service relationship in accordance with the notice and cancellation terms outlined in the signed client agreement. Upon termination, Gaia Media will cease active campaign management and return any client-owned assets. Outstanding balances remain due and payable upon termination.

Gaia Media reserves the right to terminate or suspend services immediately and without notice if a client is found to be in material breach of these Terms or engaged in activity that violates applicable law or platform policies.


13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Westchester County, New York.


14. Changes to Terms

Gaia Media reserves the right to update or modify these Terms at any time. When changes are made, the "Last Updated" date at the top of this page will be revised. Continued use of our services following any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
